This agreement is dated _________________ by and between FILIGREE LEISURE TRAVEL and _______________________________, who is referred to as an "Independent Contractor". Whereas, FILIGREE LEISURE TRAVEL is operating as a Cruise Oriented travel agency and agrees to retain ______________________________ as an Independent Contractor for the purpose of promoting and booking cruise, tour and resort vacations.
RELATIONSHIP OF PARTIES: It is understood and agreed by both parties that an Independent Contractor is not an employee of FILIGREE LEISURE TRAVEL, and that there will not be any withholding of income taxes or Social Security taxes. Further, FILIGREE LEISURE TRAVEL is not responsible to provide health insurance, workman's compensation, or any other benefits normally and customarily associated in an employer/employee relationship. Independent Contractor may work from his/her home, from the company office or in the field, whenever he/she desires to work, and will maintain no set work schedule with the company.
CONFIDENTIAL, PROPRIETARY AND PRIVILEGED INFORMATION: Independent Contractor agrees that he/she will not at any time take or misappropriate matters such as client lists, name files, data books, records, computer data, accounts or any other confidential information used at or on the property of FILIGREE LEISURE TRAVEL under this contract.
PROTECTION OF TRADE: Independent Contractor agrees not to divert customers, sales or business away from FILIGREE LEISURE TRAVEL to any other travel agency during the period he/she is affiliated with FILIGREE LEISURE TRAVEL, or for a period of one year following termination of this relationship with FILIGREE LEISURE TRAVEL.
COMMISSION SCHEDULE: Individual Bookings: The compensation for all individual bookings generated by the Independent Contractor shall be 50% of the net commission minus any processing fees received from the vendor(cruise line/resort/tour operator/etc.) for the booking. Group Bookings: (Minimum of 8 cabins) The compensation for all group bookings generated by the Independent Contractor shall be 50% of the net commission any processing fees received from the vendor. In the event free berths/rooms become available and are not used in the promotion of the group, the Independent Contractor and FILIGREE LEISURE TRAVEL will split these berths on a 50/50 basis, with the Independent Contractor always receiving the first two (2) free berths. Exceptions as agreed by both parties.
GOVERNING LAW: This agreement shall be governed by the Laws of North Carolina.
This contract constitutes the entire agreement between the parties and supersedes all previous negotiations or oral representations, none of which shall be binding. This contract shall govern the parties and nothing else.
